Terms of Service - SpeechCut

1. Who we are
These Terms are a contract between you and VAU Company Oy (Business ID 2707316-2).

2. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement.
3. Privacy
Our Privacy Policy explains how we process information and is incorporated into these Terms.
4. Your content and license to us
You retain all rights to videos, audio, transcripts, and any other content you import or create with the Service ("Your Content"). To operate the Service, you grant us and our subprocessors a limited, non-exclusive license to host, process, and transmit Your Content solely to provide core functionality such as automated transcription, synchronization, and AI-powered smart cut suggestions. This license does not allow us to use Your Content for marketing or to train machine learning models. It ends when processing is complete and Your Content is deleted from our systems.
5. License to you
Subject to these Terms, we grant you a limited, revocable, non-transferable and non-exclusive license to install and use the app on a device you own or control. We reserve all other rights.
6. Accuracy and backups
Automated transcription and AI-powered smart cut suggestions can be imperfect and may contain errors. Review outputs before publishing. Keep backups of Your Content. You are responsible for your device and for saving your work.
7. Purchases, subscriptions and refunds
- Store billing: Purchases are handled through Google Play Billing. Google is the merchant of record and processes your payment under its terms and privacy policies.
- Entitlements: Your subscription or in-app purchase unlocks features in the app. We verify entitlements using purchase tokens or receipts from the store.
- Renewal and cancellation: Subscriptions, if offered, renew automatically unless cancelled in your Google Play account settings before the renewal date. You can manage or cancel at any time in Google Play.
- Refunds: Refunds are handled according to Google Play policies and applicable law.
- Pricing and taxes: Prices may change. Taxes are handled by the store as applicable to your location.
8. Acceptable use
You agree not to misuse the Service, including by attempting to reverse engineer, bypass technical limits, interfere with security, or use the Service to infringe the rights of others or violate laws.
9. Intellectual property
The Service, including software, interfaces, and branding, is owned by us or our licensors and is protected by law. These Terms do not grant you any rights to trademarks or other brand features.
10. Termination
You can stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms or if required by law or store policies.
11. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits rights that cannot be limited by law, especially for consumers.
12. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Service. For consumers, we do not exclude or limit liability where it would be unlawful to do so.
13. Governing law and disputes
These Terms are governed by the laws of Finland, without regard to conflict of laws rules. If you are a consumer resident in the EEA, you also enjoy any mandatory consumer protections of your place of residence. Disputes may be brought in the competent courts of Finland, or in your local courts where required by consumer law.
14. Changes to the Service or Terms
We may update the Service and these Terms. We will post changes here and update the effective date. For material changes, we may also notify you in the app.
